ShowCloud Convert - Terms of Service

These terms govern use of the ShowCloud Convert module ("Service") provided by Angel 1 Sh.P.K. ("we", "us") to fitness centers and similar businesses ("Customer"). By installing or using Convert, the Customer agrees to these terms.

1. Service description

Convert is a chat-based lead capture and customer-service module integrated with the ShowCloud platform. It supports a website widget and WhatsApp Business Cloud API channels.

2. Customer responsibilities

The Customer agrees to:

  • Provide their own valid Meta WhatsApp Business Account, access tokens, and Twilio credentials when applicable
  • Use Convert only to communicate with prospects and members who have a reasonable expectation of being contacted (e.g. visitors who message the Customer's WhatsApp first or fill in a contact form)
  • Comply with Meta's WhatsApp Business Messaging Policy and Commerce Policy at all times
  • Not use Convert to send spam, harassment, deceptive content, or prohibited content under Meta's policies
  • Maintain accurate business information in the WhatsApp Business profile
  • Designate a privacy contact responsible for handling visitor data requests under GDPR

3. Acceptable use

Customer must not:

  • Use Convert to send unsolicited marketing outside the WhatsApp 24-hour customer-service window without using a pre-approved template
  • Impersonate other businesses or persons
  • Reverse-engineer, copy, or redistribute the Service
  • Use the Service in violation of any applicable law

4. WhatsApp-specific terms

When the Customer connects a WhatsApp Business Account:

  • The Customer is the WhatsApp Business Account owner and is solely responsible for compliance with Meta's terms
  • We act only as a tech provider routing messages on the Customer's behalf
  • Meta's pricing and quality rating are the Customer's responsibility
  • Account suspension or termination by Meta is outside our control

5. Data processing

The Data Processing Agreement signed at onboarding governs how we process personal data on the Customer's behalf. The Customer is the data controller for all visitor data flowing through Convert.

6. Service availability

We provide the Service on commercially reasonable best-effort basis. We do not guarantee specific uptime unless agreed in a separate Service Level Agreement.

7. Fees

Fees and billing terms are set in the Customer's commercial agreement with Angel 1 Sh.P.K. or its authorized reseller.

8. Termination

Either party may terminate with 30 days written notice. Upon termination, the Customer's data is exported on request and deleted within 30 days unless legally required to retain.

9. Limitation of liability

To the maximum extent permitted by law, our liability is limited to the fees paid by the Customer in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Governing law

These terms are governed by the laws of {{Albania / Italy - pick the jurisdiction in your commercial contract}}.

Disputes are resolved in the courts of {{matching city}}.
